1. Introduction

Welcome to W3 Creators. These Terms and Conditions govern your use of our website and services. By accessing our website, requesting a quotation, or engaging our services—including but not limited to Website Design, Web Development, Web Hosting, Email Hosting, Search Engine Optimization (SEO), and Digital Marketing—you agree to comply with and be bound by these Terms and Conditions.

If you do not agree with any part of these terms, you should discontinue the use of our services immediately.

2. Services and Scope of Work

W3 Creators provides digital services based on the specifications outlined in the project proposal, quotation, or invoice provided to the Client.

The scope of work includes only the services explicitly mentioned in the approved quotation and project proposal email. Any requests for additional features, modifications, or enhancements after the project has commenced (commonly referred to as Scope Creep) may:

Require additional charges
Extend the project timeline
Require a revised agreement or quotation

All project changes must be confirmed in writing before implementation.

3. Client Responsibilities

To ensure timely completion of the project, the Client agrees to the following responsibilities:

Provide all required project materials including logo, text content, images, videos, login credentials, and other relevant resources in a timely manner.
Review and provide feedback on design drafts or demo versions within 3–5 business days.
Ensure that all content, images, trademarks, and materials provided to us are legally owned or properly licensed by the Client.

W3 Creators shall not be responsible for any legal issues arising from the use of unauthorized or copyrighted materials provided by the Client.

4. Payment Terms

Unless otherwise agreed in writing, the following payment terms apply:

Project Deposit
A 50% non-refundable advance payment is required before project work begins.

Milestone Payments
The remaining balance must be paid according to the agreed project milestones or prior to final website deployment and delivery.

Late Payments
Invoices not settled within 7 days of the invoice date may result in:

Temporary suspension of project work or services
A late payment fee of 5% of the outstanding balance per billing cycle

Ownership of project files and source code will only be transferred upon full payment of all outstanding invoices.

5. Intellectual Property Rights

Upon full payment of all project-related invoices:

The Client will receive full ownership rights to the final website or web application delivered.
Access credentials for hosting, email services, and project files will be transferred to the Client.

However:

W3 Creators retains the right to display the completed project in its portfolio, case studies, and marketing materials.
Third-party frameworks, libraries, and tools (such as Laravel, CodeIgniter, and React, etc.) remain the intellectual property of their respective owners.
Internal reusable components, development tools, and proprietary frameworks developed by W3 Creators remain our intellectual property.

6. Project-Specific Advance Payment

All advance payments made by the Client are strictly project-specific.

An advance payment made for one project shall not be transferred, adjusted, or utilized for any other project or service unless explicitly agreed in writing by W3 Creators.

Each new project or service engagement requires a separate quotation and corresponding advance payment.

7. Delay in Client Inputs & Project Cancellation

The Client is required to provide all necessary project materials, including but not limited to logo, text content, images, videos, login credentials, and other relevant resources, within 30 days from the date of advance payment.

If the Client fails to provide the required materials within this timeframe:

W3 Creators reserves the right to suspend or cancel the project at its sole discretion.
The advance payment made for the project shall be non-refundable.
Any reinstatement of the project will be treated as a new project and may require a fresh quotation and advance payment.

8. Revisions and Warranty

W3 Creators provides a 30-day warranty period from the official website or web hosting or email hosting launch date.

During this period, we will fix any technical bugs or coding errors directly related to our development work at no additional cost.

This warranty does not cover issues caused by:

Third-party plugin updates or software changes
External API modifications
Changes made by the Client or another developer
Server failures or hosting issues not managed by us
Improper use or modification of the website

Additional updates, enhancements, or maintenance requests outside the warranty period may incur additional charges.

9. Limitation of Liability

To the maximum extent permitted by law, W3 Creators shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:

Loss of profits
Loss of business opportunities
Loss of data
Website downtime
Business interruption

arising from the use or inability to use our services.

10. Termination of Services

Either party may terminate the service agreement by providing written notice via email or official communication.

In the event of termination:

The Client must pay for all work completed up to the termination date.
Any completed work may be delivered to the Client upon settlement of outstanding invoices.
Deposits already paid are non-refundable.

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed and interpreted in accordance with the laws of India.

Any disputes arising from these terms shall fall under the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
